This is a plain-language starting draft; have it reviewed by counsel before launch.

These Terms of Service ("Terms") govern your access to and use of ArticleGrade — the content-quality grading service, public single-page grader, web dashboard, and API (together, the "Service") provided by ArticleGrade ("ArticleGrade", "we", "us"). Please read them carefully. If you have questions, contact us at hello@articlegrade.com.
By creating an account, clicking to accept these Terms, or otherwise using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a company or other organisation, you confirm that you have authority to bind that organisation, and "you" refers to that organisation. If you do not agree, do not use the Service.
ArticleGrade fetches a live, published web page and scores it from 0 to 100 across four dimensions — experience, expertise, authoritativeness and trustworthiness (E-E-A-T); AI-artifact signals; factual depth; and SEO/structure — using automated large-language-model analysis. It returns a pass/fail verdict and phrase-level suggestions, and can re-audit a page after changes. The Service is a measurement and guidance tool. It is not an SEO ranking service, a legal or compliance review, or a guarantee of any search-engine outcome (see Section 9).
The Service evaluates the live page as fetched at audit time, not a private draft. We may change, improve, or discontinue features over time.
You agree to use the Service only for lawful purposes and in line with these Terms. Specifically:
We may throttle, suspend, or terminate access for conduct that breaches this section, and we may set or adjust limits to protect the Service.
We offer a free single-page grader so you can evaluate ArticleGrade before subscribing. It is provided "as is", may be subject to lower rate limits and reduced functionality, and may be changed or withdrawn at any time. It is intended for individual evaluation, not production or automated workloads — those belong on a paid plan (Section 6).
Plans. The Service is offered on the following plans, as described on our pricing page:
Billing. Paid plans are billed in advance on a recurring monthly basis unless your order states otherwise. Usage-based charges and overages (for example, deep audits beyond an included allowance, or API usage above plan limits) are billed in arrears for the period in which they accrue. All fees are stated exclusive of taxes; you are responsible for applicable taxes.
Payment processor. Payments are handled by a third-party payments processor. We do not store payment-card data on our servers.
Price and plan changes. We may change pricing or plan features. For recurring plans, we will give reasonable advance notice before a change takes effect, and the change will apply at your next renewal.
Cancellation. You may cancel at any time from your account; cancellation takes effect at the end of the current billing period, and you retain access until then. Fees are non-refundable, and we do not provide refunds or credits for partial billing periods or unused audits, except where a refund is required by applicable law.
Non-payment. If a charge fails or an account becomes past due, we may suspend or restrict the Service after reasonable notice.
Our property. The Service — including its software, models and prompts, scoring methodology, user interface, documentation, and the ArticleGrade name and branding — is owned by ArticleGrade and its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service during your subscription, subject to these Terms. We reserve all rights not expressly granted.
Your content. As between you and us, you own the web pages you submit and the underlying content. You grant us a limited licence to fetch, process, and analyse that content, and to store the audit result and a content snapshot, solely to provide and support the Service for you (see our Privacy and Security pages). We do not use your pages, audits, or account data to train AI models, and we do not opt into training or retention with our model providers.
Audit output. Subject to your payment of applicable fees, the scores, issues, and suggestions we return for your pages are yours to use for your own purposes.
Feedback. If you send us suggestions or feedback, you grant us a perpetual, royalty-free licence to use them without obligation to you.
To deliver the Service we use third-party subprocessors, including Anthropic (Claude) and Google (Gemini) for model analysis, cloud hosting, and providers for payments and transactional email. We require subprocessors to handle data appropriately and, as noted above, we do not opt into model-provider training or retention.
You are responsible for your content. ArticleGrade measures and advises; you decide what to publish. You are solely responsible for the accuracy, legality, and quality of your content and for any decisions you make based on an audit.
Scores are guidance, not guarantees. A score is a measurement and a proxy. In particular:
"As is". To the fullest extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory — including any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any result is complete or correct.
To the fullest extent permitted by law:
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited by law.
You agree to defend, indemnify, and hold harmless ArticleGrade and its officers, employees, and agents from any third-party claims, damages, liabilities, and reasonable expenses (including legal fees) arising out of: (a) your content or the URLs you submit; (b) your representation that you are authorised to audit a submitted URL; (c) your use of the Service; or (d) your breach of these Terms or violation of any law or third-party right.
You may stop using the Service and cancel at any time (Section 6). We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Service in a way that risks harm to the Service, us, or others — with notice where reasonable, or immediately where the breach is serious. On termination, your right to use the Service ends. You may request export or deletion of your workspace data as described on our Security page. Sections that by their nature should survive termination (including Sections 7, 9, 10, 11, and 14) will survive.
We may update these Terms from time to time. If we make a material change, we will give reasonable notice — for example, by email or an in-product notice — before it takes effect. Your continued use of the Service after the effective date means you accept the updated Terms. If you do not agree, stop using the Service and cancel.
These Terms are governed by the laws of [GOVERNING JURISDICTION — to be confirmed with counsel], without regard to its conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the courts located in [VENUE — to be confirmed with counsel] for any dispute that is not otherwise resolved, except that either party may seek injunctive relief to protect its intellectual property or confidential information in any court of competent jurisdiction.
These Terms, together with any order and the policies referenced here, are the entire agreement between you and us regarding the Service. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Nothing in these Terms creates a partnership, agency, or employment relationship.
ArticleGrade is an early-stage product. We dogfooded it on our own AI-content network before launch and are building toward SOC 2; we do not claim certifications we do not yet hold.
